Fees and Payment

Work Product and Ownership

Deliverables

Upon full payment of all fees, ownership of final deliverables created specifically for the client and outlined in the service agreement will transfer to the client, unless otherwise specified.

 

Pre-Existing Materials

We retain all rights to pre-existing materials, templates, methodologies, tools, and general knowledge used in providing our services. Clients receive a license to use such materials only as incorporated into the final deliverables.

 

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio, on our website, and in marketing materials, with appropriate credit and subject to client confidentiality requirements.

 

Warranties and Disclaimers

Our Commitment

We commit to providing services in a professional and workwomanlike manner consistent with industry standards. However:

  • We do not guarantee specific results or outcomes from our services

  • Marketing results depend on many factors beyond our control

  • We are not responsible for third-party platform changes, algorithm updates, or market conditions

 

Disclaimer of Warranties

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN QUESTION DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Arbitration

The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

General Provisions

Entire Agreement

These Terms & Conditions, together with any applicable Master Service Agreement, Statements of Work, Privacy Policy, and other incorporated policies, constitute the entire agreement between you and Maison Emelle regarding the use of our website and services.

 

In the event of any conflict, the order of precedence shall be: (1) Master Service Agreement, (2) Statement(s) of Work, and (3) these Terms & Conditions.

 

Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms & Conditions will otherwise remain in full force and effect.

 

Waiver

Our failure to enforce any right or provision of these Terms & Conditions will not be considered a waiver of those rights.

 

Assignment

You may not assign or transfer these Terms & Conditions or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms & Conditions without restriction.
